1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the services provided by RedSpider LLC(referred to herein as “RedSpider,” “we,” “us,” or “our”), including but not limited to website design, development, content management, maintenance, and related digital services. By engaging our services or accessing our site, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use or continue to use our services or website.

2. Changes to Terms

RedSpider may revise these Terms at any time by updating this document. Continued use of our services following any changes constitutes your acceptance of the revised Terms. It’s your responsibility to review these Terms periodically.

3. Services & Deliverables

• We will provide the services as agreed in our proposal, scope document, or contract.
• Delivery timelines, milestones, and specifications will be defined in the project agreement.
• Unless otherwise specified, we grant you a non-exclusive, non-transferable license to use the deliverables for your internal business purposes.

4. Payment & Fees

• You agree to pay fees as outlined in our proposal or contract, following the payment schedule.
• Late payments may incur additional charges or suspension of services.
• All fees are exclusive of applicable taxes, unless otherwise stated.

5. Client Responsibilities

You agree to provide timely access, information, materials, approvals, feedback, and any resources we reasonably request to complete the project. Delays in your actions may delay project delivery.

6. Intellectual Property

• Unless otherwise agreed, RedSpider retains ownership of all intellectual property rights in our tools, frameworks, templates, and proprietary code.
• Upon full payment, we will assign or license to you the rights to the delivered final work (e.g. website design, content) for the agreed use.
• You may not copy, modify, reverse engineer, or distribute any of our proprietary tools or methods.

7. Warranties & Disclaimers

• We warrant that we will perform services with reasonable skill and care in accordance with professional standards.
• Except as expressly stated in these Terms, all services and deliverables are provided “as is” and we disclaim all other warranties, whether express or implied (including warranties of merchantability or fitness for a particular purpose).
• We do not guarantee the website or services will be error-free, uninterrupted, or immune from security vulnerabilities.

8. Limitation of Liability

• To the maximum extent permitted by law, RedSpider’s total liability arising from or relating to our services, whether in contract, tort (including negligence), or otherwise, will not exceed the total amount you have paid us under the applicable contract.
• In no event will RedSpider be liable for any indirect, special, incidental, consequential damages, loss of profits, data, goodwill, or business interruption, even if advised of the possibility of such damages.
• These limitations will apply even if a remedy fails its essential purpose.

9. Indemnification

You agree to indemnify, defend, and hold harmless RedSpider and its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including legal fees) arising out of or relating to:

• your breach of these Terms;
• your use or misuse of our services or deliverables;
• your violation of any law or third-party rights in connection with our services.

10. Confidentiality

Each party agrees to keep confidential any proprietary or non-public information disclosed by the other party in connection with the project, and not to use it except as necessary to perform the services.

11. Account & Security

If we provide you with login credentials (to access content management systems, admin panels, etc.), you agree to maintain their confidentiality, notify us immediately of any unauthorized use, and log out after each session. We are not liable for losses resulting from your failure to safeguard access credentials.

12. Third-Party Links & Services

Our services or deliverables may include links, integrations, or references to third-party tools, plugins, or platforms. We do not warrant, endorse, or assume liability for any third-party service. Your use of third-party components is at your own risk and subject to their terms.

13. Termination

• Either party may terminate the agreement if the other materially breaches these Terms and fails to cure within a specified period (e.g. 30 days).
• Upon termination, you must pay for all services rendered and deliverables provided up to the effective date of termination.

14. Governing Law & Dispute Resolution

These Terms and any dispute arising from them shall be governed by the laws of the United Arab Emirates and the Dubai jurisdiction. You submit to the exclusive (or non-exclusive, depending on the contract) jurisdiction of the courts in Dubai for resolving any dispute.

15. Severability & Waiver

If any provision of these Terms is found invalid or unenforceable by a court, the remainder will continue in full force and effect. Failure by RedSpider to enforce any right under these Terms does not constitute a waiver of that right.

16. Entire Agreement

These Terms, along with the project contract, proposal, and any referenced schedules or addenda, constitute the entire agreement between you and RedSpider with respect to the services, superseding all prior or contemporaneous understandings, communications, or agreements (written or oral).
